EMB Designs General Terms and Conditions
Payment Methods
We accept Visa, MasterCard, and Discover. We also accept payment in the form of Cashier’s Check or Money Order. Preferred payment is with company check, with approval of completed and signed credit application. A financial statement may be required. Prior verification will be required on new accounts or large orders. Pre-payment by anything other than certified funds requires approval from Financial Services Department. Cash or personal check may be used for pick-up orders only. A $30 service fee will be charged for returned checks. We reserve the right to require half down on large orders even with terms established.

Payment Terms
Terms begin the day the order is ready for shipment. A 2% prepay discount will be applied to all orders paid in full at time of order placement. Purchasing and/or Production will not begin until payment is received and cleared. A finance charge of 1.5% per month (18% per annum) will be assessed on all past due balances. We reserve the right to revoke credit terms at any time without notice.

Tax Exempt Customers: Proof of a valid sales tax license or resale permit must be on file with our Financial Services Department. Tax-exempt status must be on file before order is placed.

All information pertaining to tax exempt status, New Account Credit Applications and inquiries for invoices and account statements can be obtained by doing one of the following:

Shipping
All orders are shipped via UPS. Shipping charges include insurance, plus a minimum $3.95 handling charge.

Please specify residential deliveries at the time of order placement to eliminate any additional charges. Third-party and Collect shipping options are also available. If you prefer to use a different carrier, the shipment must go Collect or Third-Party through your company’s account. International shipments are subject to a charge of $12.00 per export document; maximum $20 per shipment.

Overnight and 2nd day Air
We offer a variety of overnight and second-day air options. Please inquire when ordering.

Local Pick-up Orders
Local pick-up is available from our Coldwater, Ohio facility Monday thru Friday 7:30am to 4:00 pm.

Minimum Orders
Order minimums vary per product and customization. All SanMar, Alpha, and Broder products are available embroidered, with no minimum quantity required at no additional charge. Other garment, hat and accessories purchases require a minimum purchase of $200. Orders totaling less than the minimum are subject to minimum fee of $7.50, in order to cover less-than-minimum handling charges. Minimum quantities for promotional product purchases are based on the individual manufacturer requirements.

Backorders and Substitutes
All out-of-stock items will be put on backorder, and processed and billed out accordingly from original order approvals. The customer will receive notification of all backordered items. No substitute items will be allowed without prior approval from the customer.

Overages and Shortages
All orders are subject to an industry standard billing of up to 2% product over runs or under runs, if exact quantities were not specifically noted on the original order.

Pricing
Quotes are good for 30 days. Quote approvals and blanket contracts are available to secure pricing and product availability for ongoing and long term projects. Consistent Pricing structures are set according to total anticipated annual volume and/or on per project basis per customer. Delivery Time
Standard delivery time on embroidered and screen printed garments is 7-14 business days from receipt of both signed order and artwork approvals. Product purchasing will not begin without signed order approvals from the customer and production will not be scheduled without signed art approvals from the customer. All order and artwork approvals may be emailed to embroidery@designsemb.com or faxed to 419-678-3577, Attn: Order Processing Department.

Rush Services
Rush services are available by request. Rush orders must be approved by our production managers. A maximum 30% rush charge will be applied at time of request. We believe in servicing our customers at the highest level and will only require the addition of rush charges if determined absolutely necessary to maintain adequate funds to justify the additional staff and or overhead associated.

Samples
Blank or customized product samples are available at 50% off the MSRP plus any associated set up, run charges and shipping charges. Email sales@designsemb.com for all sample requests.

Returns
Returns are not accepted on 1st quality decorated apparel. To ensure proper fit please use sizing charts provided. Blank garments may be requested and shipped prior to decorating, to the customer and back to our Coldwater, Ohio facility at the customer’s expense. All damaged goods or discrepancies must be reported within 5 business days of receipt of goods.

Artwork
Send all artwork to artwork@designsemb.com Determination of workable files will be made after receipt of files by our graphic and/or digitizing department. Vector art is preferred, along with a .jpg image of desired artwork. Current acceptable graphic files include .eps, .ai, .psd and .PDF files. Embroidery files are preferred in .dst file format.

We will do our best to work with the files you provide, allowing 15 minutes of artwork at no charge. A $75/hour charge with a 15 minute minimum will be charged for non-production ready artwork. Digitizing is set at a $60 min and $12 per 1000 stitch set up charge.

On behalf of our suppliers and in house operations EMB Designs guarantees the workmanship of our embroidery and screen printing for the life of the garment. The quality and workmanship of the garments and products we sell to meet manufacturer specifications with a 100% customer satisfaction guarantee. We will rework or replace any items not meeting the original customer order and or art approval on all products sold.
